Your Role:
This function provides legal support for the Mexican affiliate, in coordination with the Americas Legal Team. As part of this function, the person will be assisting the various business departments in the negotiation, structuring and/or execution of the Company's commercial arrangements, which occur in a highly regulated environment. Will be responsible for all aspects of the legal function in Mexico, including providing both day-to-day and strategic legal support for labor and employment, tax, intellectual property, data protection, compliance, risk management, corporate secretarial and corporate governance matters to ensure the continued and sustainable growth of Elanco in Mexico. For this, it is necessary to associate with the business, commercial, HR, finance, quality, manufacturing, and compliance development teams, among others, issuing advice to integrate all the legal requirements and company standards.
Your Responsibilities:
- Ensure effective contract management, drafting, reviewing, and negotiating contracts, as needed, from legal & compliance perspectives.
- Working on certain support functions, such as the global Compliance, labor, and employment with litigation teams, whenever necessary, providing the requested support and information, among other actions
- Compliance and HR investigations support.
- Managing claims and litigation of the businesses, including engagement with outside counsel.
- Offer proactive and reactive guidance on a variety of legal areas, including commercial, procurement, corporate, manufacturing activities.
- Attend and receive the auditors, public inspections, and public authorities.
- Proactively support prevention, detection, and response efforts to legal and ethical risks in business operations.
- Review of marketing materials/concepts for legal validation.
- •Monitor legal risk in documentations and decision making by giving guidance on acceptable assumption of risks.
- Human resource related legal support, including but not limited to deal with dispute with employee(s), provide opinion on Mexican labor law.
- Proxy Statement coordination and management including Annual Board and Committee evaluations, Directors & Officers questionnaires and Shareholders Meetings.
- Provide Legal support to Santa Clara Manufacturing Site.
- Participate as a member of the Elanco Leadership Team
What You Need to Succeed (minimum qualifications):
- Law degree and admitted to practice in Mexico.
- Minimum of 7 (seven) years of experience either as an in-house legal counsel in a major company or in a reputable law firm, with expertise in corporate and commercial law
- Ability to build relationships with all levels in all functions. Strong organizational skills, attention to detail, and flexibility as well as the ability to work effectively in global cross-cultural and cross-functional teams. Good analytical skills, decision-making and problem-solving ability. Lead by influence.
- Proficiency in both written and spoken English and Spanish.
- Working experience as a lawyer within the animal health industry or pharma industry is a plus.
